1. What SaathiX UPI Pay is
SaathiX UPI Pay is a feature of SaathiX Billing (operated by SaathiX Technologies, GSTIN 09KAQPK7972F1ZS) that helps merchants generate dynamic NPCI-compliant UPI QR codes on every invoice. The same capability is exposed as a public REST API at /api/public/upi/generate-qr.
The QR code embeds the merchant's own UPI Virtual Payment Address (VPA), the merchant's display name, the bill amount and an optional reference. When the customer scans the QR using any UPI app (GPay, PhonePe, Paytm, BHIM, Amazon Pay etc.), money moves directly from the customer's bank account to the merchant's bank account through NPCI rails.
2. What SaathiX is NOT
- Not a Payment Aggregator (PA) under RBI's PA-PG guidelines.
- Not a Payment Gateway (PG). We do not collect, hold, or settle funds.
- Not a Prepaid Payment Instrument (PPI) issuer or wallet.
- Not a TPAP / PSP. We do not connect to NPCI directly — we only generate the standard
upi://paydeep link that the customer's UPI app processes. - We never see, store, or process card numbers, CVVs, bank passwords, OTPs, or UPI MPINs.
3. How money actually moves
The customer's UPI app parses the QR, debits the customer's bank account and credits the merchant's bank account linked to the merchant's VPA. SaathiX is not in this fund-flow path. We only generate and log the QR payload (for the merchant's own reconciliation dashboard).
Disputes, chargebacks, refunds, and bank-side failures are handled directly between the customer, the customer's UPI app, the customer's bank, and the merchant's bank — exactly as with any other UPI QR.
4. Merchant responsibilities
- Provide a valid, owned VPA. Using someone else's VPA, or a VPA you are not the legal beneficiary of, is fraud and grounds for immediate termination.
- Display the correct legal/trade name as the payee name. Misleading customers about the beneficiary is prohibited.
- Reconcile payments yourself — confirm receipt in your bank/UPI app before marking a SaathiX invoice paid.
- Comply with all applicable Indian laws including the Income Tax Act, CGST/SGST Act, FEMA, and the Information Technology Act 2000.
- Issue GST invoices where applicable. The QR is a collection tool, not a tax invoice.
- Keep your SaathiX UPI API key confidential. Treat it like a password. Rotate immediately if leaked.
5. The ₹50 lakh / month rule (personal vs business UPI)
NPCI restricts P2P (personal) UPI handles to ₹50 lakh per month of inward collections. Crossing this with a personal account can lead to the bank/PSP suspending the VPA without notice and freezing funds for review.
SaathiX Billing tracks your monthly UPI volume and shows alerts at ₹40L, ₹45L and ₹50L. If you are running a real business, switch to a P2M (merchant/business) VPA issued by your bank or PSP before you cross these thresholds. SaathiX is not liable for VPA suspension, frozen settlements, or business loss arising from continued use of a personal VPA.
6. SaathiX UPI API — acceptable use
- The API is provided free of charge to active SaathiX Billing accounts. It may not be resold, white-labelled, or wrapped into another paid service without written consent.
- Rate limit: 10 requests per minute per API key. Burst above this returns HTTP 429.
- Amount must fall within the per-store min/max range configured in Settings. Out-of-range requests are rejected.
- Do not use the API for gambling, betting, crypto-asset on/off-ramp, MLM schemes, adult content, weapons, or any activity prohibited by Indian law or NPCI's UPI Procedural Guidelines.
- We log every QR generation (store_id, amount, reference, timestamp) for fraud monitoring and to fulfil lawful requests from law enforcement.
- We may revoke any API key at any time, with or without notice, if we reasonably believe it is being misused.
7. Fees, MDR, settlement
SaathiX charges zero MDR (0%) on UPI collections done through SaathiX UPI Pay. SaathiX Billing's own subscription fees (if any) are separate and billed per the Pricing page.
Bank-side or PSP-side charges (if your bank levies any on inward UPI credits) are not within SaathiX's control. Settlement timing is governed by NPCI and your bank — usually instant.
8. Limitation of liability
SaathiX UPI Pay is provided on an as-is, as-available basis. To the maximum extent permitted by law, SaathiX Technologies is not liable for:
- Failed, delayed, duplicate, or fraudulent UPI transactions (handled by NPCI / customer's bank / merchant's bank).
- VPA suspension by your bank or PSP, including for crossing P2P thresholds.
- Customer disputes or chargebacks routed via NPCI's dispute redressal.
- Downtime of NPCI, banks, UPI apps, or the QR image rendering service.
- Any indirect, incidental, special, consequential, or punitive damages.
Our aggregate liability for any claim arising out of SaathiX UPI Pay is capped at ₹1,000 or the SaathiX Billing fees paid by you in the preceding three months, whichever is higher.
9. Indemnity
You agree to indemnify and hold SaathiX Technologies, its officers, directors and employees harmless from any claim, demand, loss, or expense (including reasonable legal fees) arising out of your use of SaathiX UPI Pay or the SaathiX UPI API, including any breach of these terms, misrepresentation of your VPA or business, or violation of any law.
10. Data we store
- Your UPI VPA and merchant display name (as you enter in Settings).
- Each QR generation: amount, bill reference, optional note, timestamp, status.
- Monthly aggregated volume for the compliance tracker.
- We do NOT store customer-side data, UPI MPINs, bank credentials, or actual settlement records — those live with NPCI and your bank.
11. Changes & termination
We may update this policy or change the API at any time. Material changes will be announced on this page and via email to active merchants at least 7 days in advance where reasonably practical. Continued use after the effective date constitutes acceptance. Either party may stop using SaathiX UPI Pay at any time by disabling it in Settings — historical QR records are retained for 24 months for audit.
